In the event Emergo files a suit for violation of these Terms of Use (which may be in conjunction with other claims) which results in a finding that the defending party violated the Terms of Use, the defending party will be responsible for Emergo"s legal fees, costs, and expenses incurred in connection with the action, in addition to any and all damages awarded to Emergo.
Any legal action or proceeding against Emergo or its representatives in any way related to the Website, these Terms of Use, or the Privacy Policy must be instituted exclusively in the federal or state courts located in Austin, Texas, United States of America.
These Terms of Use are governed by and shall be construed in accordance with the laws of the State of Texas, United States of America, without regard to any conflicts of law principles.
